Terms of Use

This Website (the “Site”) is owned and operated by TeachOneNow, LLC or one of its subsidiary companies within the United States (collectively, “TeachON”, “we”, “our”, or “us”). These terms of use (the "TOU") apply to your use of the Site and govern your rights and responsibilities in connection with such use. The term "Site" includes the content on the Site and all of TeachON's services provided on or through the Site (the "Site Services"). You "use" the Site anytime you access, view, link to or from, or otherwise interact or communicate with or connect to, the Site (or any parts thereof) or interact or communicate with other users through the Site (including, without limitation, on message boards, chat rooms and/or other communities established on the Site). Your use of the Site (or any part thereof) signifies your agreement to be bound by these TOU, and the TeachON Privacy Policy (the "Privacy Policy") and, which is hereby incorporated by this reference into these TOU. These TOU are a binding legal agreement between you and TeachON: please read them carefully before you use the Site. DO NOT USE THE SITE IF YOU DO NOT AGREE WITH ANY OF THE TERMS CONTAINED HEREIN.

TeachON reserves the right, at its sole discretion, to change, modify, and/or add to these TOU, the Privacy Policy, in whole or in part, at any time, without notice. Changes to the TOU, Privacy Policy and CPR statement will be effective when posted. You agree to review the TOU, Privacy Policy periodically to become aware of any changes. Your use of the Site or any part thereof after any changes to these TOU, and/or Privacy Policy are posted will be considered acceptance of those changes and will constitute your agreement to be bound thereby. If you object to any such changes, your sole recourse will be to stop using the Site.

No Medical Advice

It is the intent of TeachON to operate services and products through this Site consistent with the work of Jeffrey B. Brown, M.D. However, TeachON is not a healthcare practitioner or provider. The information provided through this Site is for general informational purposes only and is not intended to constitute or substitute for medical advice or counseling, the practice of medicine including but not limited to internal medicine, endocrinology, psychology, psychiatry, or psychotherapy. While the information on the Site was prepared to provide accurate information regarding topics related to general and specific health issues, the information contained in the Site is made available with the express understanding that neither TeachON, Dr. Brown and/or the other experts on the Site, nor the Site itself, nor members of the Site are dispensing medical advice and do not intend any of this information to be used for self diagnosis, health care diagnosis, or treatment. Use of this Site does not constitute the creation of a physician-patient or clinical relationship, or an endorsement, a recommendation or a sponsorship of any third party, product or service by the TeachON or any of the TeachON's related companies, agents, service providers, employees, or consultants. BEFORE STARTING OR STOPPING ANY TREATMENT OR ACTING UPON INFORMATION CONTAINED ON THE SITE, YOU SHOULD CONTACT YOUR OWN PHYSICIAN OR HEALTH CARE PROVIDER. Information and statements regarding dietary supplements available on this Site have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease.

Ownership

The content of the Site and services, including but not limited to, the images, text, advertising, directories, guides, articles, opinions, reviews, illustrations, audio clips, video, html, source and object code, software, and including the selection and design of the Site, and all copyrights, patents, trademarks, service marks, trade names and all other intellectual property rights therein are owned by TeachON and/or its licensors and are protected by applicable US and international copyright and other intellectual property laws.

You accept and agree that you shall not have, nor be entitled to claim any rights in and to the Site content and/or any portion thereof, except: (i) to the extent of your limited rights to use the Site for certain personal (non-commercial) purposes, as set forth below in the section and the other terms and conditions of these TOU. Any of the unauthorized uses would constitute an infringement of the copyrights and other proprietary rights of TeachON and/or its licensors and a violation of these TOU and may subject you to civil and/or criminal liability under applicable laws.

TeachON respects the intellectual property rights of others’ works. If you believe that your work is accessible on the Site in such a way that constitutes copyright infringement, you may notify our editor.

Licenses Granted

Your use of certain Site Services, features, functionality or programs (including, without limitation, contests, giveaways, promotions, wireless marketing opportunities, RSS feeds, etc.) offered on or through the Site may be subject to additional terms and conditions ("Special Rules"), and before you use any such services, features, functionality or other programs you may be required to indicate your acceptance of such additional Special Rules. All Special Rules are incorporated into these TOU as if fully set forth herein.

TEACHON grants you the following limited, revocable, non-exclusive, non-transferable, non-assignable, worldwide, royalty-free rights and licenses (each a "License"): (1) the License to

use the Site to view Contentfor your personal, lawful use only, as intended through the normal Site’s functionality; (2) the License to print or copy for your personal use any portion of the Content that you are authorized to access; provided that you do not remove any trademark, copyright, or other notice contained in such Content; (3) the License to reproduce, distribute, or adopt up to forty (40) words or 250 characters (including spaces) of Content (provided you (a) identify “TEACHON/Dr. Jeffrey B. Brown, M.D.” as the source of the Content and (b) if you use the Content on the Internet, include a hyperlink back to the Site from which you obtained the Content); (4) the License to stream Site content using any of the widgets and/or other digital streaming Internet video players, if any, provided on the Site (any such widget or other digital streaming Internet video player referred to as a "Site Widget"); (5) the License to cut and paste certain code expressly made available to you through the Site (provided that you do not remove any trademark, copyright, or other notice contained in such Content) in order to embed, re-publish, maintain, and/or display the specific Site content to which such code relates on your own personal, customized social networking Web page(s), Web blog(s), or microblog(s) (collectively, your "Personal Social Media"), and/or, if the Site provides "widget grabbing and embedding" functionality, to "grab" a Site Widget and embed, re-publish, maintain, and/or display such Site Widget on your Personal Social Media;(6) if the Site includes a "Send to Friend" tool that allows you to initiate and send to your friends an email communication that includes Site content; (7) if the Site includes a "Download" link next to a piece of Site content (including, without limitation, an image, a document, a music track, RSS feed, or etc.), the License to download a single copy of such content to a single computer or other permitted device for your personal, non-commercial use only; (8) if the Site enables you to download Software, the License to install and use one copy of the Software on your personal computer system in machine-executable object code form only and make one additional copy for back-up purposes;(9) the License to post messages to bulletin boards, chat groups, or forums available on the Site; and License to use any other functionality expressly provided by TeachON or through the Site for use by users, subject to these TOU; (10) Search engines may engage in customary site indexing and caching.

Your Responsibilities

Under now uncertain terms, your rights under any one or more of the Licenses set forth above are conditioned upon your complete compliance, with each of the following: (1) you will not create a submission that is unlawful, vulgar, pornographic, profane, obscene, libelous, threatening, discriminatory, harassing, bullying, indecent, defamatory, hateful, racially, culturally or ethnically offensive, or that violates any applicable laws, rules, regulations or Federal Trade Commission guidelines ("Applicable Laws"), infringes or violates any other party’s(ies’) intellectual property rights or links to infringing or unauthorized content; (2) you will not use any one or more of the Licenses (and any associated functionality) to collect, obtain, compile, gather, transmit, reproduce, delete, revise, view, display, forward, any material or information, whether personally identifiable or not, posted by or concerning any other user of the Site, unless you have obtained prior permission from such user to do so; (3) you will not interfere with or disrupt, or attempt to interfere with or disrupt, the operation of the Site (or any parts thereof); (4) you will abide by all copyright notices, information, restrictions contained in or associated with any of the Site content; (5) you will not remove, alter, interfere with or circumvent any of copyright, trademark, watermark, or other proprietary notices marked/displayed on Site content; (6) you will not remove, alter, interfere with or circumvent any digital rights management mechanism, device or other content protection or access control measure (including, without limitation geofiltering and/or encryption) associated with Site content; (7) you will not use any of the rights granted to you or any of the Site content in a manner that suggests an association with any of TeachON’s products, services or brands, unless otherwise specifically permitted by TeachON; (8) you will not compile portions of the Content into any product for sale, license, promotional use or any other exchange for value; (9) you will not use bots, spiders, offline readers or other automated systems to access or use the Site in a manner that sends more request messages to the Site's servers in a given period of time than a human can reasonably produce in the same period by using a conventional Web browser, unless you are a lawfully operating a public search engine, in which case (subject to TeachON's full discretion to revoke this exception at any time), you may use spiders to index materials from the Site for the sole purpose of creating publicly available searchable indices (but not caches or archives) of such materials; (10) you will not knowingly transmit any material that contains adware, malware, spyware, software viruses, timebombs, cancelbots, worms, trojan horses, spyware, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (11) you further agree not to remove, obstruct, modify or otherwise interfere with the delivery or display of advertisements on the Site; (12) you will not do anything that is likely to adversely affect or reflect negatively upon or harm the goodwill or reputation of Dr. Jeffrey B. Brown, TeachON, or any of its affiliates, or the Site, or any of the content running or being promoted on the Site; (13) you will not do anything on the Site that would prevent other users' access to or use of the Site or any part thereof; (14) you specifically agree not to use the Site or the Content in any manner that competes with TEACHON and you further agree not to decompile, reverse engineer any software or other products or processes accessible through the Site; and (15) you will use the Site and the Licenses at all times in compliance with these TOU and all Applicable Laws.

User Account

You may create an account on this Site (an “Account”). After creation of an Account, you shall further have the option(s) to become a member’s only Account holder and be referred to herein as a “Member”. You may not authorize any third party to enter and/or use your Account on your behalf.

To protect your Account, you should choose a unique username and password that is not a name, birthday, street address, or other personal commonly known information associated with you. You are responsible for maintaining the confidentiality of your Account and password, for restricting access to your computer in regards to your Account, and for all activities that occur using your Account. You also agree to provide us with accurate, complete, and current information, and to update information provided to us if and when such information should change. You also agree to immediately notify TeachON of any unauthorized use of your user name, password, or Account or any other breach of security, and ensure that you exit from your Account at the end of each session. We reserve the right to cancel your Account for any reason at any time, in our sole discretion. TeachON cannot and will not be liable for any loss or damage arising from unauthorized use of your user name, password, and/or Account.

By creating an Account and further joining such exclusive Membership Only Account you have access to special Content and Services on the Sites. If you are not a Member, you agree not to use or access, or attempt to use or access, any Content and/or Services intended only for Members.

By creating an Account with us or by sending e-mails to us, you are communicating with us electronically. We will communicate with you by e-mail or by posting notices on this website. You consent to receive communications from us electronically. Further, you agree that all communications including but not limited to agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writining.

User Submissions & User Grant of License

The Site may enable you to submit messages, video, photos, textual comments, feedback, creative works, and/or other personal media content and your idea and other information, (collectively, your "User Submissions"), and such User Submissions will generally be available to all users of the Site. To protect your safety, please use your best judgment when posting information. We particularly discourage divulging personal phone numbers and addresses or other information that can be used to identify or locate you. You are solely responsible for any User Submissions you submit to the Site. We shall not be liable for the use or misuse or for any consequences that may arise therefrom of any information or data, including personal information, that is included in your posted User Submissions. It is not TeachON’s regular, established practice to monitor, control, or have knowledge of the User Submissions Submitted using the Site, but TeachON may do so in its sole discretion. When you Submit your User Submissions on or through the Site, you grant to TeachON and its affiliates, an irrevocable, perpetual, worldwide, unconditional, unrestricted, fully-paid, royalty-free, transferable, fully sublicenseable to multiple tiers of sublicensees, non-exclusive right and license (the "TeachON License") to display, publicly perform, distribute (including, without limitation, through third-party Web sites, blogs, microblogs and other social networking media and Internet resources), store, transcode, host, cache, maintain, broadcast, webcast, podcast, transmit, distribute, tag, track, reproduce, edit, modify, format, re-format, link to and from, translate, delete, create derivative works, combine with other content, categorize, and/or otherwise use, reuse, assign, and/or otherwise exploit your User Submissions (or any portions or derivative works thereof) and any names, likenesses, voices, images, digital recordings, performances, and other ideas, concepts, feedback and other materials included in your User Submissions, in any manner, medium or content delivery technology now known or hereinafter devised, for any purpose, as determined solely in TeachON’s (or its authorized designees/licensees') sole discretion, without the requirement for any compensation to you or anyone else, or the need to require additional consent from you or anyone else, or the need to provide prior notification or any credit to you or anyone else. The TeachON License shall survive in perpetuity in accordance with its terms regardless of whether you stop using the Site or TeachON terminates your access to the Site. You acknowledge and agree that: (i) you have no expectation of confidentiality of any nature with respect to any of your User Submissions, and (ii) TeachON and/or any of its affiliates may already have projects under consideration that are similar to your User Submissions or may independently develop projects that are similar to your User Submissions, or other User Submissions transmitted by other users of the Site may be similar or the same as your User Submissions. Because of the viral nature of social media, you should not submit any content or information to TeachON that you do not want to be viewed by others. In connection with all of the User Submissions you Submit to the Site, and any other activities that you conduct on the Site, you represent, warrant and covenant that: (i) the User Submissions are original to you (you own all rights in and to your User Submissions) or, alternatively, that you have acquired all necessary rights in your User Submissions to enable you to grant to TeachON the TeachON License; (ii) you have paid or satisfied and will pay or satisfy in full all license fees, clearance fees, royalties, and any other financial or third party obligations of any kind, if any, arising from any use or exploitation of your User Submissions, and TeachON will not be responsible for such obligations; (iii) your User Submissions do not infringe the intellectual property rights, privacy rights, publicity rights, or any other legal or moral rights of any third party; (iv) neither your User Submissions, nor any of the other activities that you undertake on the Site, are or will at any time be: defamatory or disparaging of any individual or entity, unlawful, pornographic, obscene, threatening, vulgar, indecent, profane, hateful, sexually explicit or sexually suggestive, intended to bully or harass or stalk, or resulting in bullying, harassing, or stalking, racially or ethnically or culturally offensive, or otherwise objectionable or encouraging of criminal conduct, or giving rise, or potentially giving rise, to civil or criminal liability, or linking to infringing or unauthorized content, or transmitting unsolicited advertising materials, or intended to result in, or resulting in, any mental or physical distress or injury to any person, violate of any Applicable laws or these TOU; and (iv) your User Submissions are not intended by you to benefit any commercial enterprise associated with you or any third party.

TeachON is not responsible for any loss, theft or damage of any kind to any User Submissions.

You acknowledge that TeachON does not as a matter of its ordinary practice pre-screen any User Submissions submitted by you or other users of the Site but that TeachON (and/or any of its authorized designees) has the right to and may pre-screen or review after initial submission any of the User Submissions for a variety of reasons, including, without limitation, for compliance with these TOU or Applicable laws, or if otherwise desired or necessary, as determined by TeachON in its sole discretion. TeachON shall have the right in its sole discretion to refuse, remove, edit, or disable any of your User Submissions (and/or any other Site users' User Submissions) that violate these TOU or are otherwise objectionable, as determined by TeachON in its sole discretion, as well as terminate your and/or any Site user's continued access to and/or other use of the Site (including, without limitation, access to and/or use of any of the Services, features or functionality available on or through the Site). TeachON does not control or endorse any User Submissions, and any User Submissions submitted to the Site do not reflect the opinions, views or policies of TeachON or any of its affiliates. TeachON disclaims any and all liability in connection with any and all User Submissions, and you agree to waive any legal or equitable rights or remedies you may have against TeachON or any of its affiliates with respect to such User Submissions.If you remove or delete any of your User Submissions from the Site, that User Submission will be removed from the Site within a reasonable period of time. Nonetheless, a User Submission that you remove may still be available to third parties who previously acquired the link to that User Submission and TeachON may maintain copies for archival purposes. TeachON reserves the right to display advertisements in connection with your User Submissions and to use your User Submissions to advertise and promote your User Submissions or the Site (in whole or in part). You acknowledge and agree that you have no right or interest in any of the revenue generated from such advertisements. These provisions shall remain in full force and effect in perpetuity notwithstanding any termination of your use of the Site.

Commercial Transactions; Shipping: Returns

Products are offered for sale through the Site. In the event you purchase any of these products, you will be asked by TeachON or an authorized third party on TeachON's behalf to supply certain personally identifying information, including without limitation, your full name, address, telephone number and credit card information. You agree to provide accurate, complete, and current information at all times. TeachON reserves the right to charge fees for access to portions of the Site or particular Services offered. However, we will not charge for access to the Site or Services unless we obtain your prior agreement to pay such charges. All new fees, if any, will be posted at appropriate locations on the Sites. You shall pay all fees and charges incurred through your Account at the rates in effect for the billing period in which such fees and charges are incurred, including charges for any products or Services offered for sale through the Site by TeachON or by any other vendor or service provider. All fees and charges shall be billed to and paid for by you. You shall be responsible for all charges incurred through your account as well as for paying any shipping and handling charges, and applicable taxes.

All items purchased from the Site are shipped pursuant to a shipment contract. The risk of loss and title for such items pass to you upon our delivery to the carrier.

You may return any unopened, unused, unspoiled, or defective product purchased on the Site within 30 days of delivery for a full refund. Once we have received and processed the returned product, we will notify you via e-mail of your refund. We will strive to issue a refund within 15 business days of our receiving your return. If you have not received a refund within 25 business days from the day you sent us your return, please e-mail us for further assistance. International Users

The Site is targeted to US residents only, but given the nature of the internet it may be accessed in other parts of the world. If you are not a US resident and yet use the Site, you acknowledge, understand and agree that you are doing so on your own initiative and at your own risk and that it is your responsibility (and not the responsibility of TeachON) to make sure that your use of the Site complies with all applicable local laws. If you are not a US resident, by submitting your personally identifiable information on the Site, you consent to the transfer of such data to the US, and to the processing of such data on TeachON’s US servers, where your data will be governed by US laws that may provide a level of data protection different than you home country. ACCESSING THE SITE FROM TERRITORIES WHERE THE SITE’S CONTENT OR SERVICES ARE ILLEGALIS PROHIBITED. You may not use the Site or export the Content in violation of any applicable export laws and regulations.

No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created between you and TeachON by this Agreement.

Third Part Lings; Advertisers

This Site may link to and/or contain advertisements about non-TeachON owned or controlled internet resources, Websites, or off-line businesses. You acknowledge and understand that TeachON does not endorse or sponsor such other third party enterprises. TeachON specifically and expressly disclaims any liability and responsibility for any content, functionality, services, software, or advertised products found on or related to any such third part Websites, off-line business enterprises, or other internet resources.

Indemnity; Limitations of Liability

As a condition of use of the Site and the Services, you agree to the extent permitted under applicable laws to indemnify, defend, and hold harmless TeachON, and its officers, directors, owners, agents, information providers, shareholders, subsidiaries, affiliates, licensors and licensees (collectively, “Indemnified Parties”) from and against any and all claims and any theory of liability (whether in tort, statutory, contract, or otherwise), and costs, including attorneys’ reasonable fees, incurred by the Indemnified Parties in connection with any claim arising out of: (i) your entry and/or use of the Site, (ii) your use of the Services, (iii) TeachON use or distribution of any Content you provide to TeachON, (iv) Content posted or transmitted through your Account, even if not posted or transmitted by you, and/or (v) any violation, or alleged violation, of these TOU by you, or any party acting on your behalf or with your authority. (vi) Your violation of any law or the rights of a third party

You shall cooperate as fully as reasonably required in the defense of any such claim. TeachON reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

Privacy

TeachON takes the protection of your privacy as a very important responsibility. The terms regulating the handling of personally identifiable information and other information provided by you in connection with the Site is described in our Privacy Policy, which can be found by clicking on the Privacy Policy link.

Notices

Except as provided in the following sentence, all notices hereunder shall be given by certified mail, postage prepaid and return receipt requested, to: TeachOneNow, LLC 12164 Central Avenue, Suite 227, Bowie, MD 20721.

General

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The provisions of this Agreement will survive termination or expiration to the extent necessary to carry out the intentions of the parties. Section headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such Section. You agree that this Agreement may be automatically assigned by TeachON, in its sole discretion, to a third party. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. If we bring any suit against you to enforce these Terms of Use or otherwise in connection with your use and/or enter of the Site, you agree that if we prevail in such suit we shall be entitled to recover all costs and expenses incurred in such suit including reasonable attorneys’ fees. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.

Disclaimer of Warranties

The materials and services on this Site are provided “as is”, “with all faults”, and “as available” basis. TeachON makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, TeachON does not warrant or make any representations concerning the accuracy, likely results, compatibility, completeness, or reliability of the use of the materials on its Internet Site or otherwise relating to such materials or on any sites linked to this Site. TeachON may make changes to the materials contained on its web site at any time without notice. TeachON does not, however, make any commitment to update the materials. Some jurisdictions do not allow implied warranties to be excluded or modified, so not all of the above limitations may apply to you.

Termination

TeachON may, in its sole discretion and at any time, terminate, modify, temporarily suspend your rights under any of the Licenses and otherwise your access to the Site, and discard, remove, and/or disable or deactivate any or all of your User Submissions that you Submitted to the Site (and/or any other User Submissions) and/or any other information and data that you (and/or anyone else) may have provided to the Site, for any reason and without notice or liability. You agree that if your authorization to enter any of the Sites is terminated, you will not thereafter enter, or attempt to enter, the Sites, directly or indirectly, and if your authorization to enter any of the Sites is suspended, you will not thereafter enter, or attempt to enter, the Sites, directly or indirectly, until your suspension is removed and we give you express notice thereof. Any and all refunds for previously paid products or services will be refunded according to the associated product or service refund agreement. TeachON may also, in its sole discretion and at any time, discontinue the Site or any parts thereof or limit or restrict any user access thereto, for any reason, with or without notice. You may discontinue your access to, use or participation on the Site at any time.

Governing Law

Any claim relating to Company's web site shall be governed by the laws of the State of Maryland without regard to its conflict of law provisions. You agree to receive service of process through certified mail or by other means sanctioned by law, and you expressly waive any claim of improper venue and any claim that such courts are an inconvenient forum. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our Site or this Agreement must be filed within one year after such claim or cause of action arose or be forever barred.
